Community West Bank to Acquire United Security Bank in $191.9 Million Deal

Fresno, California, is set to witness a significant shift in its banking landscape as Community West Bank announces its plan to acquire United Security Bank in a deal valued at approximately $191.9 million. This merger is expected to close in the second quarter of 2026, marking a pivotal moment in the region’s financial services sector.

Details of the Acquisition

The merger will result in Community West Bank gaining 13 additional branches, which will boost its total assets to around $5 billion. According to Community West CEO James Kim, this acquisition will not only enhance the bank’s visibility but also make it “more robust.” The financial terms dictate that United Security investors will receive 0.4520 shares of Community West common stock, translating to roughly $10.88 per share.

Impact on Shareholders

Following the completion of the acquisition, Community West shareholders are projected to own about 70.6% of the newly formed entity, while United Security investors will hold the remaining 29.4%. This restructuring aims to create a unified banking experience that reflects shared values and objectives.

Strengthening Community Commitment

This acquisition aligns with Community West’s long-term growth strategy and showcases its commitment to the Central California communities. CEO James Kim emphasized that both institutions have a strong foundation in relationship banking, rooted in local decision-making and responsible growth. In terms of governance, the board of Community West will expand by two members, incorporating Jagroop Gill from United Security’s board and another director to be named later. United Security CEO Dennis Woods expressed enthusiasm for the merger, describing it as a “natural partnership.” He highlighted the shared cultural values focused on integrity, personal service, and a dedication to community welfare. Following the merger, Woods will serve as chairman emeritus, focusing on client retention strategies, ensuring a smooth transition for existing clients.
