Community West Bank to Acquire United Security Bank for $191.9 Million

Fresno, California – Community West Bank is set to enhance its footprint and service capacity through the acquisition of United Security Bank in a transaction valued at $191.9 million. This significant merger is expected to finalize in the second quarter of 2026.

Expansion of Branch Network and Assets

The acquisition will see Community West Bank expand its presence with an additional 13 branches, increasing its total assets to approximately $5 billion. Community West CEO James Kim highlighted that this move will make the bank “more robust and more visible,” aiding its ability to better serve the Central California community.

Shareholder Benefits

As part of the agreement, shareholders of United Security will receive 0.4520 shares of Community West common stock for each share they own, translating to roughly $10.88 per United Security share. This valuation is based on Community West’s closing stock price of $24.06 as of Tuesday.

Governance Changes

With the merger, Community West’s board will be expanded by two members, including Jagroop Gill, a current director from United Security Bank. Post-acquisition, Community West shareholders are expected to hold about 70.6% of the merged entity, while United Security shareholders will maintain 29.4% ownership.

Strategic Vision

Kim characterized the acquisition as a “major step forward” in Community West’s long-term growth strategy and its dedication to the communities it serves across Central California. He noted that both banks share a foundational focus on relationship banking, local decision-making, and responsible growth.

Strengthened Market Position

“This union will foster a more robust banking franchise with greater expertise and enhanced resources,” Kim stated, emphasizing the strength and ability of the merged organizations to better support local businesses and families.

United Security’s Perspective

Dennis Woods, the CEO of United Security Bank, referred to the merger as a “natural partnership,” citing the shared values focused on integrity, personal service, and community commitment. This collaboration will reportedly allow both banks to serve their clientele with increased capacity and broader market reach.

Future Leadership Role

Upon completion of the merger, Dennis Woods will assume the role of chairman emeritus, concentrating on the retention of essential clients and ensuring a smooth transition for both institutions.
